TQCS International Pty Ltd (TQCSI) is a Veteran-owned family business that has grown into an international leader as a JAS-ANZ-accredited certification body. With a reputation for excellence in auditing and certification services, TQCSI operates across multiple sectors and regions, serving thousands of clients globally. Over the years, the company has experienced exponential growth, boasting an industry leading portfolio of certifications and a strong international presence.
TQCSI engaged Scalewise to evolve its governance practices in alignment with the company’s scaled growth and future aspirations. Recognising the complexities of transitioning from a family-run enterprise to a professionally governed organisation, Scalewise tailored its services to address these unique challenges while safeguarding the company’s legacy and shareholder interests.
Scalewise commenced with a shareholder workshop, facilitating a collaborative environment to clarify the company’s strategic direction and priorities. This process led to planned statement of work which includes the development of a board composition and skills matrix, ensuring alignment with TQCSI’s company constitution and shareholders’ agreement.
Over the next 12–18 months, Scalewise will guide TQCSI through the implementation of sophisticated governance practices in accordance the Australian Institute of Company Directors (AICD) framework, including:
- Establishing formal directorship roles and utilising a skills matrix to recruit a Board of Directors
- Developing a governance schedule to provide structured oversight, including reporting, strategy workshops, risk statements and aligning the financial management system to the governance structure.
- Building redundancies across governance and management systems to ensure resilience and mitigate risks, ensuring there are no single points of success or failure, across the company.
Scalewise is supporting TQCSI to develop a robust governance framework that protects shareholders, employees, and clients, positioning the company to sustain its growth as Australia’s leading certification body. This will transition TQCSI from a family-run operation to a governance-driven organisation set up to secure its legacy and strengthen its market position.
